These Terms of Service ("Terms") govern your access to and use of the website apexbridgeit.com (the "Site") operated by ApexBridge IT Consulting, LLC ("ApexBridge," "we," "us," or "our"), and provide general terms applicable to our IT consulting services. By accessing the Site or engaging our services, you agree to these Terms.

1. Use of the Website

You may use our Site for lawful purposes only. You agree not to:

  • Use the Site in any way that violates applicable federal, state, or local laws
  • Attempt to gain unauthorized access to our systems or networks
  • Transmit viruses, malware, or other harmful code
  • Scrape, crawl, or harvest data from the Site without permission
  • Impersonate ApexBridge or any of its employees or representatives

2. Professional Services

IT consulting services are governed by separate Statements of Work (SOW), Master Service Agreements (MSA), or service contracts executed between ApexBridge and the client. In the event of conflict between these Terms and a signed agreement, the signed agreement prevails.

3. Intellectual Property

All content on this Site — including text, graphics, logos, images, and software — is the property of ApexBridge or its licensors and is protected by US copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our written consent.

Custom deliverables created for clients are governed by the IP provisions in the applicable service agreement. Pre-existing ApexBridge tools, frameworks, and methodologies remain our property.

4. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Information on this Site is for general informational purposes and does not constitute professional IT, legal, or financial advice. Results described in case studies are not guaranteed for all clients.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEXBRIDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100).

Liability for professional services is governed by the applicable service agreement.

6. Indemnification

You agree to indemnify and hold harmless ApexBridge, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Site.

7. Confidentiality

Information shared during consultation requests may be treated as confidential upon mutual agreement. Formal confidentiality is established through executed Non-Disclosure Agreements (NDAs) for project engagements.

8. Third-Party Services and Links

Our Site may reference or link to third-party products and services (cloud platforms, software vendors, etc.). We are not responsible for third-party content, products, or services. Your use of third-party services is subject to their respective terms.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Travis County, Texas. Both parties consent to the exclusive jurisdiction of such courts.

Before initiating legal proceedings, parties agree to attempt good-faith negotiation for at least thirty (30) days.

10. Modifications

We reserve the right to modify these Terms at any time. Changes are effective upon posting to this page with an updated date. Continued use of the Site after changes constitutes acceptance of the revised Terms.

11. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
